Why a product studio needs a holding
A holding structure is a choice about ownership and governance, not a default badge for a growing studio. The case for separating an asset, product or investment should be strong enough to justify the added administration, agreements, reporting and decision paths. In some portfolios, one operating company remains clearer and cheaper.
Start with the separation you actually need
Map the assets and responsibilities: who owns the software and brands, who signs customer and supplier contracts, which team carries payroll and operating costs, and where investment decisions sit. If several products share one team, one release process and one risk profile, putting them into separate entities may add formal steps without solving a live problem. If an asset has a distinct owner, partner, funding path or operating risk, separation may deserve professional review.
Compare the practical costs
- One company: fewer entities and simpler internal administration; the trade-off may be less separation between product lines or investment decisions.
- Holding plus operators: clearer portfolio-level ownership and capital discussions; the trade-off is more accounting, contracts, records and coordination.
- Separate product entities: may fit a product with its own investors, partners or operating team; the trade-off is keeping IP, services, cash and responsibilities aligned across entities.
Do not assume that entity separation automatically removes a liability, changes tax treatment or transfers intellectual property. Those outcomes depend on documents, jurisdiction and actual conduct. EU company rules cover subjects such as formation, capital, disclosure and company operations; the European Commission’s company-law overview is a starting point, not tailored legal or tax advice.
Use a short decision memo
Write the problem, options, one-time setup work, ongoing costs, owners, contracts that would change and conditions that would trigger a review. Ask legal and tax advisers to check the intended structure before moving assets or signing new agreements. Revisit the choice when a product brings in a new co-owner, funding round, regulated workflow or a clearly independent operation—not only when the portfolio grows another line on a slide.
For the cadence that makes governance useful to operators, read operator-led boards; for cross-border questions, read EU structure and global apps. See services or contact for a conversation about portfolio operations.
